Version 1.3
These Terms and Conditions ("Terms") govern your access to and use of the Deedy platform, including the website www.deedy.co.za, any associated mobile applications, and all products, features, content and services made available through them (collectively, the "Platform").
By registering for an account, accessing the Platform, listing a property, viewing a property, or purchasing any Deedy product, you ("you", "the User", "Buyer" or "Seller" as the context requires) acknowledge that you have read, understood and agree to be bound by these Terms, our Privacy Policy and any product-specific terms referenced herein. If you do not agree to these Terms, you must not use the Platform.
These Terms constitute a legally binding agreement between you and Deedy and are governed by the laws of the Republic of South Africa.
In these Terms, unless the context indicates otherwise:
2.1. By using the Platform you warrant that you are at least 18 (eighteen) years of age and have full legal capacity to enter into binding agreements under South African law.
2.2. If you are using the Platform on behalf of a juristic person (such as a company, trust or close corporation), you warrant that you are duly authorised to bind that entity to these Terms, and references to "you" shall include that entity.
2.3. Deedy reserves the right, in its sole discretion, to refuse registration, suspend access or terminate any account where the User does not meet the eligibility criteria, has provided false information, or has breached these Terms.
2.4. Your continued use of the Platform after any amendment to these Terms constitutes acceptance of the amended Terms. Deedy will notify Users of material amendments by email or through the Platform, but Users are responsible for periodically reviewing the current version of the Terms.
3.1. The Platform is an online marketplace that connects Buyers and Sellers of residential property in South Africa. Deedy provides technology, identity verification, third-party data products and introductory services.
3.2. Deedy is not an estate agent, conveyancer, attorney, valuer, credit provider, bond originator, financial advisor or insurance broker. Deedy is not party to any sale, lease, transfer or other transaction concluded between Users. Deedy does not own, inspect, value, warrant or take possession of any property listed on the Platform.
3.3. Any transaction arising between a Buyer and a Seller is a transaction strictly between those parties. Deedy facilitates introductions and provides supporting tools, but does not negotiate, conclude, enforce or guarantee any sale.
3.4. Users acknowledge that Deedy does not control, and is not responsible for, the conduct, statements, listings, conduct during Viewings, financial standing, intentions or representations of any other User.
4.1. To access certain features of the Platform you must register for an account and provide accurate, current and complete information, including your full name, identity number, contact details and (where applicable) banking information.
4.2. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Deedy immediately of any unauthorised access or suspected security breach.
4.3. You may not (a) create more than one account without our written consent, (b) share your account with any third party, or (c) impersonate any other person.
4.4. Deedy may suspend or terminate an account, with or without notice, where there is reasonable suspicion of fraud, misrepresentation, unlawful conduct or breach of these Terms.
5.1. A Seller may create a Listing only for residential property in respect of which the Seller is the lawful owner or has the express written authority of the owner to market the property.
5.2. The Seller warrants that all information submitted in a Listing (including price, description, photographs, floor area, erf size, zoning, occupancy status and any disclosures) is accurate, complete and not misleading.
5.3. The Seller is solely responsible for compliance with all applicable laws, including (without limitation) the Estate Agency Affairs Act, the Property Practitioners Act 22 of 2019 to the extent it applies, the Alienation of Land Act 68 of 1981, the National Building Regulations and the Sectional Titles Act 95 of 1986.
5.4. The Seller must disclose all latent and patent defects of which the Seller is aware. Deedy does not inspect, verify or warrant the condition of any listed property and accepts no liability for defects, misdescriptions or non-disclosures.
5.5. The Seller authorises Deedy to display the Listing on the Platform, in marketing communications and (at Deedy's discretion) on partner channels, until the Listing is withdrawn or the Subscription lapses.
5.6. The Seller indemnifies Deedy against any claim, loss or damage arising from (a) inaccurate or unlawful Listing content, (b) breach of the Seller's warranties in this clause, or (c) any dispute with a Buyer or third party in connection with the listed property.
All fees referred to in this clause are exclusive of Value Added Tax ("VAT"). VAT will be added at the prevailing rate from the date Deedy is required to register as a VAT vendor. All fees are payable in South African Rand and are non-refundable except where expressly provided for in these Terms or required by law.
6.1.1. Sellers pay a monthly Subscription fee of R199.00 per active Listing, commencing the third (3rd) month following the first publication of the Listing. For Listings first published on or before 31 December 2026, the first two (2) months are provided free of charge to all Sellers, regardless of when in that period the Listing is first published. This free period does not apply to Listings first published after 31 December 2026, unless Deedy announces a new promotional period.
6.1.2. Subscription fees are billed monthly in advance. Failure to pay any Subscription fee when due may result in suspension or removal of the Listing without further notice.
6.1.3. A Seller may withdraw a Listing at any time. No refund will be issued for the unused portion of any Subscription month.
6.2.1. Pre-Approval is a paid, optional or mandatory (as the case may be) affordability indicator made available to Buyers at a fee per check.
6.2.2. Pre-Approval is an indicator only and does not constitute, and shall not be construed as:
6.2.3. The Pre-Approval result is generated using information supplied by the Buyer together with data drawn from third-party credit bureaus and is valid only at the point in time it is issued. Subsequent changes in the Buyer's financial circumstances, credit profile, employment, lender policy or market conditions may result in a different outcome on formal application.
6.2.4. Deedy is not a credit provider as defined in the National Credit Act 34 of 2005 and does not extend credit. Any decision to grant or decline credit rests exclusively with the relevant lender.
6.2.5. Buyers acknowledge that any reliance placed on a Pre-Approval (including in formulating offers to purchase, signing offers subject to bond approval, or making any financial commitment) is at the Buyer's sole risk. Deedy shall have no liability for any loss, damage, cost or expense (including loss of deposit, breach of contract penalties, or loss of bargain) arising from such reliance.
6.3.1. Buyer Verification is a mandatory paid product, payable per verification, which a Buyer must complete before attending any Viewing facilitated through the Platform.
6.3.2. Buyer Verification involves the collection of the Buyer's identity information and the verification of that information against records held by the Department of Home Affairs and, where applicable, third-party identity verification providers.
6.3.3. The scope of Buyer Verification is limited to identity confirmation. Buyer Verification confirms that the person presenting an identity number is, on the records available, the holder of that identity number. It does not, and is not intended to, constitute:
6.3.4. Sellers acknowledge and accept that a Verified Buyer remains an unknown third party and that the act of admitting any person to a residential property carries inherent personal, security, financial and reputational risk. The Seller assumes full responsibility for the manner, time, place and security arrangements of any Viewing.
6.4.1. Property Valuation is a one-off paid product priced per new Listing. Property Valuation reports are sourced from third-party data providers, including but not limited to Lightstone Property and its successors, whose data is in turn derived from the Deeds Office and other public and proprietary records.
6.4.2. The Property Valuation is an automated, algorithmically-generated estimate intended for informational and marketing purposes only. It is not a professional valuation conducted by a registered valuer under the Property Valuers Profession Act 47 of 2000, is not suitable for use in legal proceedings, mortgage origination, insurance claims, expropriation or any matter where a sworn valuation is required, and should not be relied upon as such.
6.4.3. Deedy does not warrant the accuracy, completeness or currency of any Property Valuation. Users acknowledge that property values are subject to many variables including condition, improvements, market timing and individual buyer preference that an automated model cannot fully account for.
6.5.1. Suburb Demand Insight is a Buyer-side paid product priced per unit. It provides aggregated, indicative data on demand-side activity within a selected suburb, derived from Platform behavioural data.
6.5.2. Suburb Demand Insight is provided for general informational purposes only. It does not constitute investment, financial or property advice and should not be the sole basis of any purchase, pricing or investment decision.
6.6.1. Demographics Insight is a Buyer-side paid product providing aggregated data on the age profile, tenure and turnover of property owners in a selected suburb, including recent sellers and stable (long-tenure) owners.
6.6.2. The data underlying Demographics Insight is supplied by third-party data providers (including Lightstone Property) which source records from the Deeds Office. Deedy does not collect, derive or warrant this data and does not source it from the Department of Home Affairs.
6.6.3. Demographics Insight is provided on an "as-is" basis. Deedy makes no representation or warranty as to its accuracy, completeness or currency, and accepts no liability for any decision taken in reliance on it.
6.7.1. Deedy may, from time to time, refer Buyers to home loan providers, bond originators, conveyancing attorneys or other transaction-support professionals. Deedy may receive a referral fee, origination fee or commission in respect of such referrals.
6.7.2. Any such referral is an introduction only. Deedy is not a party to and accepts no responsibility for the services rendered, fees charged or outcomes produced by any third-party service provider. Buyers and Sellers must conduct their own due diligence and contract directly with such professionals.
6.8.1. All Platform fees are payable via the payment methods made available by Deedy. By submitting payment information, you authorise Deedy and its payment processors to charge the applicable fees to your nominated payment method.
6.8.2. Delivery. All paid products and data services made available through the Platform (including the Property Valuation, Suburb Demand Insight, Demographics Insight, Pre-Approval and Buyer Verification products) are delivered electronically. Delivery is effected by making the purchased product, data or result available for the User to view on the Platform, and delivery is deemed to occur at the point at which the product or result is made available on the User's account. No product is dispatched or delivered through any other channel. All of a User's past purchases remain available for the User to view at any time under the profile section of the User's account on the Platform.
6.8.3. Refunds. Payment for each paid product is taken before Deedy places the corresponding request to the relevant system or third-party data provider, and each product is delivered electronically once the requested data or result is returned. Accordingly, all fees are non-refundable save as set out in this clause or as required by applicable law (including the CPA where applicable). A refund will be due only where payment has been received but the relevant system or third-party data provider that Deedy must call in order to generate or return the product is unavailable, or is unable to return the requested data, and no data or result is therefore provided to the User. Where such a refund is due: (a) if the User paid by credit card, the amount will be refunded automatically to the credit card used for the payment; and (b) if payment was not made by credit card, or the original payment method is not available as a refund destination, the User may request the refund by emailing hello@deedy.co.za, and Deedy will process the refund within 48 (forty-eight) hours of receipt of the User's email.
6.8.4. Cancellation. Paid products and data services that have been paid for and delivered cannot be cancelled. The only charge that may be cancelled is the recurring monthly Subscription, which a Seller may cancel at any time by emailing hello@deedy.co.za. Cancellation of a Subscription is subject to clause 6.1.3, and no refund is issued for the unused portion of the Subscription month in which the cancellation takes effect.
6.8.5. Deedy reserves the right to amend its pricing on 30 (thirty) days' written notice to existing Users. Amended pricing will not apply to Subscriptions or one-off products already paid for in advance.
7.1. Where a User opts in to Buyer Verification, Pre-Approval, or any other product requiring identity confirmation, the User expressly consents to Deedy (and its sub-processors) collecting, processing and verifying the User's identity data against records maintained by the Department of Home Affairs and authorised third-party identity verification providers.
7.2. This consent is given for the limited purpose of identity verification and is subject to the further provisions of Deedy's Privacy Policy. Withdrawal of consent is permitted at any time but will result in the affected products becoming unavailable to that User and may result in suspension of access to certain Platform features.
7.3. Deedy will retain identity verification data only for as long as required by law and applicable record-keeping obligations under, among others, the Financial Intelligence Centre Act 38 of 2001 and POPIA.
8.1. The Platform facilitates introductions and verifies the identity of Buyers attending Viewings. The Platform does not supervise, attend, control or insure any Viewing.
8.2. Each User acknowledges that admitting any other person (whether Verified or not) onto residential property involves inherent personal, security and proprietary risk. Such risk is borne entirely by the property owner or occupant.
8.3. Without limiting the generality of clause 13 (Limitation of Liability) below, Deedy shall not be liable, whether in contract, delict or otherwise, for any loss, damage, injury, harm or claim of any nature arising from or in connection with a Viewing, including without limitation:
8.4. Sellers expressly waive any claim against Deedy in respect of the matters set out in clause 8.3, save where such waiver is prohibited by law or where the loss arises from Deedy's own gross negligence or wilful misconduct.
8.5. Buyers undertake (a) to attend Viewings only in good faith and for the purpose of evaluating a property for potential acquisition, (b) not to permit any other person to attend in their place without disclosure to and consent of the Seller, (c) to comply with all reasonable instructions of the Seller during a Viewing, and (d) not to use information obtained during a Viewing for any unlawful purpose.
8.6. Buyers indemnify Deedy and the Seller against any loss, damage or claim arising from breach of clause 8.5.
9.1. You may not use the Platform to:
9.2. Deedy may remove any content, suspend or terminate any account, and report any User to relevant authorities where, in its sole discretion, this clause has been breached.
10.1. All intellectual property in the Platform, including the Deedy name, logo, software, design, structure, look and feel, text, graphics, code and compilations of data, is and remains the exclusive property of Deedy or its licensors.
10.2. Users are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purposes contemplated by these Terms. No other rights are granted.
10.3. By submitting content to the Platform (including Listings, photographs, descriptions and reviews), the User grants Deedy a worldwide, royalty-free, sub-licensable licence to use, reproduce, adapt, publish and display such content for the purpose of operating, marketing and improving the Platform.
10.4. Users warrant that they have all necessary rights in the content they submit and that such content does not infringe the rights of any third party.
11.1. Deedy processes personal information in accordance with POPIA and its Privacy Policy, which is incorporated into these Terms by reference and available at www.deedy.co.za.
11.2. By using the Platform, you consent to the collection, processing and (where relevant) sharing of your personal information for the purposes described in the Privacy Policy, including identity verification, fraud prevention, regulatory compliance, service provision, marketing communications (where you have opted in) and analytics.
11.3. You have the rights afforded under POPIA, including the rights to access, correction, objection and deletion (subject to legal retention requirements). Requests in this regard must be addressed to the Information Officer at hello@deedy.co.za.
11.4. Deedy implements reasonable technical and organisational security measures to protect personal information, but cannot guarantee absolute security. Notification of any reasonably suspected unauthorised access to personal information will be made in accordance with section 22 of POPIA.
12.1. To the maximum extent permitted by law, the Platform and all products, content and services made available through it are provided on an "as is" and "as available" basis, without warranties or representations of any kind, whether express, implied, statutory or otherwise.
12.2. Without limiting clause 12.1, Deedy does not warrant that:
12.3. Users rely on any information, recommendation or referral obtained through the Platform at their own risk and must conduct their own independent investigation, due diligence and professional consultation before making any property, financial or legal decision.
13.1. To the maximum extent permitted by South African law, Deedy, its directors, employees, contractors, agents, shareholders and affiliates shall not be liable to any User or third party for any direct, indirect, incidental, special, consequential, exemplary or punitive loss or damage, including (without limitation) loss of profit, loss of bargain, loss of opportunity, loss of data, loss of reputation, wasted expenditure, or trauma, whether arising in contract, delict (including negligence), statute or otherwise and whether or not Deedy was advised of the possibility of such loss.
13.2. Without limiting clause 13.1, Deedy shall not be liable for:
13.3. To the extent that any liability of Deedy is established and not validly excluded under this clause or applicable law, the aggregate liability of Deedy to any User in respect of all claims arising in any 12 (twelve) month period shall not exceed the greater of (a) the total fees paid by that User to Deedy in the 6 (six) months preceding the event giving rise to the claim, or (b) R5,000.00 (five thousand Rand).
13.4. Nothing in these Terms limits or excludes Deedy's liability for (a) death or personal injury caused by Deedy's gross negligence or wilful misconduct, (b) fraud or fraudulent misrepresentation by Deedy, or (c) any liability which cannot be excluded or limited under South African law (including the CPA, where applicable).
13.5. The User indemnifies and holds Deedy harmless against any third-party claim, liability, loss, damage, cost or expense (including legal fees on an attorney-and-own-client basis) arising from (a) the User's breach of these Terms, (b) the User's breach of any law, or (c) any transaction, communication, Viewing or interaction with another User.
14.1. Either party may terminate the User's account on written notice. The User may close their account at any time by emailing hello@deedy.co.za.
14.2. Deedy may suspend or terminate any account, with or without notice and with or without refund of fees paid, where:
14.3. Termination does not affect any rights or obligations that have accrued before the date of termination. Clauses dealing with intellectual property, indemnity, limitation of liability, dispute resolution and any other clause that by its nature should survive, shall survive termination.
15.1. The parties shall use reasonable efforts to resolve any dispute amicably and in good faith through direct negotiation. A dispute must first be raised in writing to hello@deedy.co.za with sufficient particularity for Deedy to investigate.
15.2. Should the parties fail to resolve a dispute within 30 (thirty) days of written notice, either party may refer the dispute to arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA), to be conducted in English in Johannesburg, before a single arbitrator agreed by the parties or, failing such agreement, appointed by AFSA.
15.3. Nothing in this clause prevents either party from approaching a court of competent jurisdiction for urgent interim relief, or any User from pursuing remedies under the CPA, POPIA or other applicable legislation where mandatory.
16.1. Governing law. These Terms are governed by and construed in accordance with the laws of the Republic of South Africa.
16.2. Entire agreement. These Terms, together with the Privacy Policy and any product-specific terms expressly incorporated by reference, constitute the entire agreement between the parties in respect of the subject matter and supersede all prior agreements and representations.
16.3. Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be severed and the remainder of the Terms shall remain in full force and effect.
16.4. No waiver. No failure or delay by Deedy in exercising any right shall operate as a waiver of that right.
16.5. Assignment. The User may not cede or assign any right or obligation under these Terms without Deedy's prior written consent. Deedy may cede or assign its rights and obligations to any successor in title or affiliate.
16.6. Notices. Any notice to Deedy must be sent to hello@deedy.co.za. Notices to a User may be sent to the email address on the User's account, and shall be deemed received on the date of transmission.
16.7. Force majeure. Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, civil unrest, pandemic, load shedding, cyberattack, third-party service failure or governmental action.
16.8. Electronic communications. In terms of the Electronic Communications and Transactions Act 25 of 2002, the User consents to receiving communications from Deedy in electronic form. Such communications satisfy any legal requirement that they be in writing.
16.9. Independence. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between Deedy and any User.
16.10. Headings. Headings are for convenience only and do not affect interpretation.
